OutSystems Velocity Partner Rewards Program – Terms and Conditions

1. INTRODUCTION

Welcome to the OutSystems Velocity Partner Rewards Program (the "Program"). These Terms and Conditions (the "Terms") govern your participation in the Program, which is accessible via outsystemsvelocity.com. By registering for, accessing, or participating in the Program in any way, you agree to be bound by these Terms. The Program is offered and administered by OutSystems ("Company," "we," "us," or "our") and is executed in partnership with Elevate Loyalty (https://elevateloyalty.com/). If you do not agree to these Terms, you must not participate in the Program.

2. ELIGIBILITY AND REGISTRATION

2.1. Partner Status: Participation in the Program is strictly limited to individuals who are currently employed by an official, recognized partner of OutSystems.

2.2. Partner Agreement: The participating individual's employer (the partner company) must have a fully executed, active, and valid partner agreement on file with OutSystems.

2.3. Geographic and Role Requirements: The Program is open to all Sales Representatives operating within the Asia-Pacific (APAC) region, strictly excluding Japan. Sales Representatives located in or operating primarily out of Japan are not eligible to participate.

2.4. Verification: OutSystems reserves the right to verify the eligibility of any participant at any time. If an individual is found to be participating without meeting the eligibility requirements, their account will be terminated, and all accumulated points will be immediately forfeited.

2.5. Employer Policy Compliance: By signing up for this program, you confirm that you have checked your organisation’s policies and are permitted to participate in the Velocity program and disclose your eligibility for its rewards. You understand that a personal reward will be issued only where your organisation has authorised personal receipt of rewards; otherwise, an approved reward may be directed to your organisation in accordance with the program terms.

2.6. Communications Consent: By signing up for this program, you acknowledge and agree that you may receive promotional emails and surveys pertaining to this program.

3. PROGRAM DURATION

3.1. Term: The Program is currently active and will run until March 31, 2027 (the "Program End Date").

3.2. Program Conclusion: Following the Program End Date, final monthly points for March 2027 will be processed and paid out during the final processing cycle.

3.3. Final Expiration: After the final payout has been issued following the March 31, 2027 conclusion, the Program will officially close, and any remaining points will expire and be rendered void.

4. EARNING POINTS, CONVERSION, AND PROOF OF EXECUTION

4.1. Point Conversion Rate: Points accrued in the Program carry a fixed conversion rate of 25 Points = $1.00 USD.

4.2. Activity Schedule: Participants earn points by completing qualified activities. All submitted activities require validation and designated Proof of Execution (POE) before points are credited:

4.3. Review & Discretion: OutSystems reserves the right, in its sole discretion, to approve, reject, or request additional documentation for any submitted activity. Points will only be awarded upon successful validation of the required POE.

5. QUARTERLY EARNING CAPS AND EXPIRATION

5.1. Maximum Quarterly Cap: There is a maximum earning cap of $1,000 USD (equivalent to 25,000 points) per individual participant per financial quarter.

5.2. No Rollover: Points do not roll over from one financial quarter to the next.

5.3. Quarterly Point Expiration: If a participant earns points in excess of the $1,000 USD quarterly payout cap, all points exceeding the cap will automatically expire at the end of that financial quarter and will be forfeited. Any unredeemed points remaining in an account at the close of a financial quarter will not carry forward into subsequent quarters.

6. REWARD REDEMPTION AND MONTHLY PAYOUTS

6.1. Minimum Payout Threshold: Payouts will only commence once a participant has accumulated a minimum threshold of 2,500 points (equivalent to $100 USD).

6.2. Monthly Payout Schedule: Once the 2,500-point threshold is met, payouts are calculated, processed, and distributed on a monthly basis based on validated activities completed within that month, up to the maximum quarterly threshold of $1,000 USD.

6.3. Non-Transferability: Points and reward payouts are assigned directly to the individual registered participant and cannot be transferred, assigned, shared, or pooled with other sales representatives or team members.

6.4. Reward Card Terms: Please note that the reward card is provided as a post-sale incentive. The reward issued is not cash. It is provided in the form of a single-load card, meaning it cannot be reloaded with additional funds once issued. Furthermore, the reward card cannot be used to withdraw cash at an ATM.

7. PROGRAM EXECUTION

The daily operations, tracking platform, and fulfillment of the Program are facilitated by Elevate Loyalty. By participating in the Program, you acknowledge and agree that your participation data may be shared with and processed by Elevate Loyalty strictly for the purpose of administering the Program on behalf of OutSystems.

8. TAXES

Participants are solely responsible for any local, state, federal, or international tax liabilities, duties, or filings resulting from points earned or financial rewards received through the Program. OutSystems or Elevate Loyalty may require tax documentation prior to processing payouts.

9. MODIFICATION AND TERMINATION

OutSystems reserves the right to modify, amend, suspend, or terminate the Program (or any portion thereof) at any time without prior notice. This includes altering point values, qualifying activities, payout terms, or these Terms.

10. LIMITATION OF LIABILITY

By participating, you release and hold harmless OutSystems, Elevate Loyalty, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, or losses arising out of or related to your participation in the Program or receipt of rewards.

11. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OutSystems is legally headquartered, without regard to its conflict of law principles. Any legal proceedings shall be brought exclusively in the courts of that jurisdiction.
